The AI Operating System for the Autonomous Web3 Economy

Seed Round · Rule 506(c) / Regulation S · verified investors only. TokenOS v5.0 is the AI operating system for the autonomous Web3 economy. Issuer: TokenOS AI, LLC (Delaware); offering documents v2026-A.1 dated September 25, 2026. Dated historical network data since launch through September 27, 2026: 7,000+ nodes deployed, $61M+ service fees paid out and $26M+ fees above hardware cost — cumulative floors, not projections. Important notices: the SAFE interests are restricted securities offered only to verified accredited investors and non-U.S. persons in offshore transactions; there is no public market; an investment involves a high degree of risk including loss of the entire purchase amount; no return is promised or guaranteed. $TOS is not being offered and the SAFE confers no rights in $TOS. This page is a summary — the PPM, Form of SAFE, Subscription Agreement and Token Transfer & Compliance Policy control.

The problem: today's AI is a brain in a jar — models can reason but cannot ship a working application, run on private compute or pay for what they use. Three gaps block the autonomous Web3 economy: trapped compute (fragmented GPUs, no privacy guarantee, no accountable operator), snippets not systems (AI coding tools generate fragments, not a pipeline from description to deployed contracts and live URL) and no machine payments (agents hit 402 Payment Required walls with no standard rail to meter, pay and settle). The platform: one platform, six surfaces, each one bills — the Agentic IDE (platform credits in SOL or $TOS; 40+ models, Claude Fable 5.1 default, five chains), the AI Agent Marketplace (3% platform fee per paid x402 call, creators keep 97%), the x402 Payment Facilitator (USDC on Solana and Base), the DeAI Compute Network (25% of net service fees plus the marketplace), the P2P AI Inference Market (4% protocol fee on settled amounts) and ChatGPT Apps + MCP connectors (paid deep audits via x402; funnel to builds). Chains: Ethereum, Base, Arbitrum, Robinhood Chain, Solana. Non-custodial: TokenOS never holds keys. NVIDIA Developer Program member.

The moat: sovereign compute from verified operators — hardware-level privacy in Intel TDX enclaves with attestation that proves where each GPU physically sits, A²E workload routing that keeps verified capacity utilized (operators are paid service fees for compute actually sold — fee-for-service, not a return on investment) and an accountable supply side where every operator is identity-verified and continuously screened under the Terms of Service: identity or business verification, sanctions and PEP screening every 30 days, a single verified payout wallet, attested hardware provenance and location, and an accredited-investor attestation before payout release. DeAI node program: verified operators deploy enterprise NVIDIA nodes (H100 → GB300) or list GPUs they already own; each node runs a 30-day deployment; operators are paid USDC service fees that depend on demand and may be zero; a node purchase buys hardware provisioning and hosting, not a share in the platform or a right to income. Net service fees are allocated on-chain 50% to the node operator, 25% to the $TOS staking pool (USDC) and 25% to the protocol treasury (DevCo); verified operators receive a 1.2× rate multiplier versus 1.0× for community operators.

Compute Marketplace (launching): rent GPUs by the minute with SSH in under 60 seconds — published on-demand rates from GB300 ($499.35/day, ≈$20.81/hour) and B300, B200, H200, H100 ($132.90/day, ≈$5.54/hour) down to A100, L40S, RTX 4090, RTX 3090 and consumer CUDA ($7.00/day); 1 × H100 for 720 hours lists at $3,987 on TokenOS versus $8,849 on AWS, $8,820 on Azure and $7,963 on GCP. Auto-allocator, per-minute meter with refunds for unused minutes, public reputation formula (60% uptime · 25% ratings · 15% completed jobs, no pay-to-rank), Solana settlement in USDC or card, regions US West, US East, Europe and Asia Pacific. Who buys: research teams, solo developers, generative AI studios, enterprise ML teams, AI startups and Web3 / DePIN builders, plus an agents lane where non-human agents open x402 USDC sessions ($1 / $5 / $10 / $25 caps) and pay per inference call. New in v5.0: the P2P AI inference market — sellers run the open-source tokenos-p2p node in front of a GPU or API quota and set their own price per million tokens; buyers get a local OpenAI-compatible endpoint, cheapest offer wins, credits ($0.10 each) are metered from the response's own usage field; direct encrypted TCP means TokenOS sees no prompts or completions; trust scores instead of token rewards; a 4% protocol fee taken seller-side; running a node does not guarantee traffic or income. Distribution: five TokenOS apps inside ChatGPT, Claude and Cursor and six stateless MCP servers at tokenos.ai/api/mcp/apps/ — free, read-only tools that link back into the TokenOS IDE.

Traction — dated historical data (compute.tokenos.ai/stats, observed September 27, 2026): $61M+ service fees paid out, $26M+ fees above hardware cost, $34M+ operator-funded hardware capital deployed, 7,000+ nodes across 250+ verified operator wallets, 1.29 PB aggregate HBM, 80%+ of operators deploying again, $9.8M+ DevCo receipts to date (V3 fees retained plus the V4 treasury share), 9 epochs completed and 1,750+ deployment transactions. Trajectory: cumulative fees nearly doubled since July — $34.4M paid out and $12.2M above hardware cost on Jul 26, 2026 versus $61.4M and $26.9M on Sep 27, 2026; in that 63-day window +$27.1M was paid out, +$14.7M above hardware cost and +$3.7M received by the DevCo treasury. Past network activity does not indicate future activity. DevCo economics: $26.86M fees above hardware cost since launch — $4.19M retained in the V3 alpha period and $22.67M allocated 50/25/25 in V4 — and five revenue lines in v5.0: compute routing, builds, agent payments, P2P inference and apps & audits; capex-light and custody-free. Market context: Aethir ($127.8M FY2025 revenue, $97M / $203M mcap / FDV, 1.6x), io.net ($20M annualized, 5.2x), Akash ($4.2M ARR, 38.6x) and the DePIN sector (~139x) are secondary-market token valuations, shown for context only; the TokenOS figure is the $200M post-money cap of a SAFE on DevCo equity, not a token. Valuation reference: $26.9M cumulative fees above hardware cost, $9.8M+ DevCo receipts and $3.7M trailing-63-day treasury share — annualized for arithmetic reference only (≈ $157M of service fees, ≈ $21M of treasury receipts), not a forecast.

About TokenOS

TokenOS is the AI operating system for the autonomous Web3 economy. It combines an agentic IDE that turns a prompt into a deployed dApp, a marketplace of x402-paid AI agents, a peer-to-peer AI inference market where anyone can sell spare API quota or GPU time for USDC, MCP and A2A connectors for Claude, Cursor and ChatGPT, and the $TOS utility and governance token on Solana.

Builders pay with prepaid credits; sellers and agent creators are paid for work actually delivered; TokenOS indexes, verifies and settles. Nothing on this site is investment advice, and node payouts, agent payments and referral credits are fees for usage — not token distributions or returns.
